The thesis called ““the absence of a legal definition of ““Enterprise Fund““ and its renewal of definition in the corporations law, responds to the need to determine what will result in the absence of a legal definition of business background, in the national legal system; analyze corporate national legislation that regulates the Division; analyze if necessary the existence of a legal definition of business background in our legal system; determine which support in the existing corporate law is considered the business background as a patrimonial block in the Division and why is not regulating their definition and extension; as well as analyzing in our economic reality is viable to legally define the Enterprise Fund, in comparison with economic realities in other countries. In this sense, the formulation of our problem was the following: what will cause the absence of a legal definition of Enterprise Fund in the national legal system?, for which we propose the following hypothesis: the absence of a legal definition of business background, will cause its incorrect renewal towards the definition as paragraphs 1 and 2 of article 369 of the corporations law. In this vein, we placed our attention basic to the study of the doctrine and legislation to prove this hypothesis, given that in our economic reality is viable legally define the Enterprise Fund, in comparison with economic realities in other countries; every time that the non-existence of a legal definition of business background in our legal system affects the effectiveness of the legal alternative to achieve the economic restructuring of society or company and achieve its deconcentration and specialization, not being able distinguish between an active and actual business background understanding to the public, clientele, image or other intangible that may very well be recovered and quantified within a patrimonial block and not be in a way by express lack of standards that define it, that differentiates it, redirecting improperly toward a definition as that of subparagraphs 1 and 2 of article 369 of the law Nº 26887, corporate law.
