Aplicación de la constitución simultánea y por oferta a terceros en sociedades anónimas y las responsabilidades y beneficios de los fundadores, en las notarías de la ciudad de Huancayo

Abstract

La presente tesis responde al problema de investigación que comprende la aplicación de constitución simultánea y por oferta a terceros de las sociedades anónimas y su relación con los beneficios y responsabilidades de los fundadores, en las notarías en la ciudad de Huancayo, durante el año 2018, desarrollándose los contenidos de cada una de las variables, dimensiones e indicadores. El objetivo general fue determinar la relación entre las dos variables, dentro del enfoque cuantitativo, tipo de investigación aplicada, nivel descriptivo correlacional y diseño no experimental. La población en estudio estuvo constituida por 250 escrituras públicas de constitución de sociedades anónimas, con una muestra de 141 escrituras públicas, habiendo aplicado el muestreo no probabilístico intencional. Los instrumentos utilizados para la medición de las variables fueron validados por 3 jueces expertos en derecho civil y comercial, quienes realizaron la evaluación correspondiente. Para la confiabilidad del instrumento se utilizó la fórmula del coeficiente Alfa de Cronbach evaluando la confiabilidad de los instrumentos a una muestra piloto de 30 sociedades anónimas de Huancayo. La validez del instrumento de investigación se realizó a partir de los resultados obtenidos en la prueba piloto y mediante la correlación ítem-test Los resultados fueron que la constitución simultánea y por oferta a terceros de las sociedades anónimas están relacionadas significativamente con los beneficios y responsabilidades de los fundadores en las notarías de la ciudad de Huancayo, hipótesis que se comprobó estadísticamente mediante la prueba t de Student (tc=7,825) para un nivel de significación del 5% (α=0,05) y 139 grados de libertad.

This thesis responds to the research problem that includes the application of simultaneous constitution and offer to third parties of the corporations and their relationship with the benefits and responsibilities of the founders, in the notaries in the city of Huancayo, during the 2018 period, developing the contents of each of the variables, dimensions and indicators. The general objective was to determine the relationship between the two variables, within the quantitative approach, type of applied research, correlational descriptive level and non-experimental design. The study population was constituted by 300 minutes of incorporation of corporations, with a sample of 141 public deeds, having applied intentional nonprobabilistic sampling. The instruments used to measure the variables were validated by 3 expert judges in civil and commercial law, who made the corresponding evaluation. For the reliability of the instrument, the formula of the Cronbach's Alpha coefficient was used, evaluating the reliability of the instruments in a pilot sample of 30 Huancayo corporations. The validity of the research instrument was based on the results obtained in the pilot test and through the item-test correlation The results were that the simultaneous constitution and by offer to third parties of the corporations are significantly related to the benefits and responsibilities of the founders in the notaries of the city of Huancayo, hypothesis that was statistically verified by Student's t test (tc = 7,825) for a significance level of 5% (α = 0.05) and 139 degrees of freedom.
