The Individual Limited Liability Company has become the only form of legal organization that allows entrepreneurship satisfying a priori the desire of the group of entrepreneurs who do not wish to associate by providing them with legal status, as a corporate body, and limitation of liability; however, the Decree that regulates it was conceived as a law for small businesses, so its approach is limited for enterprises with aspirations for economic growth. In the absence of a modification, the Registry Court has been resolving appeals in favor of the entrepreneur, laudable pronouncements that seek benefit him by allowing the access the Registry, being, on the other hand, detrimental to the legal system by making modifications or disapplying current legal provisions. This premise will be the guide of the present work in which it is intended to analyze the role of the Registry Court against Decree Law 21621. In this sense, it will start with the presentation of the figure of the EIRL and the modifications introduced by the institution, following with the excesses incurred by the entity and their respective consequences. Finally, it will close by analyzing two solution options: the introduction of the One Man Company or the updating of the current regulations.
