ABSTRACT In Peru, business pratice that is organized within the framework of a ‘Closed Society’ (‘Sociedad Anonima Cerrada’), as regulated by Law No. 26887, the General Law of Societies, should be dynamic and be at the cutting edge of new forms of social interaction and market development, for example, in their internal processes as the announcements to shareholders, in which the use of obituaries of printed paper remains the preferential medium of call for partners, a fact that is evidenced in the appeal or cassation sentences emitted by the Supreme Court of Justice of the Republic and the resolutions of the tribunal of the National Superintendence of Public Registries. Notwithstanding the above the General Law of Societies indicates in its article 245 that a summons to general assembly meeting in a society of this nature can take place by any means that permits the confirmation of receipt; be that by fax, e-mail, or other means of communication that allows for the confirmation of receipt, directed to private homes or the address provided by the shareholder for this purpose, not outlawing the possibility of making the call by othermedia simultaneously, in order to ensure legal certainty and efficient dissemination of such calls, as for example through the social network Facebook.
