The purpose of this document is to analyze Case No. 00228-2009-PA/TC concerning the rights of minority shareholders in Accordion Transactions in Peru, with a particular focus on the infringement of the rights to private enterprise and property. This specific case involves a constitutional grievance action filed by Ms. F.M.I.S. against Empresa Chiquitoy, Cartavio and FODINSA. The grievance was previously dismissed by the relevant instances of the INDECOPI and the PCM Public Prosecutor's Office. Consequently, these entities were also summoned in the appeal submitted to the Constitutional Court, due to an alleged violation of the preemptive subscription right. The claimant seeks the restitution of the shares she formerly held. This analysis is grounded on various legal articles and specialized books addressing the aforementioned rights. After extensive research, the authors advocate for the acceptance of the claim and the subsequent restitution of the claimant’s shares. This stance is supported by the judgment's emphasis on the role of the State in regulating private economic relations, ensuring the full exercise of property rights, private enterprise, shareholders’ rights, and others. Additionally, the document highlights the legal minimum requirements for conducting an “accordion transaction“ in Peru.
