The matter of the case to be reviewed addresses the nullity of the corporate agreement of the company with the initials M.O. S.A. The discrepancy arose when three of its shareholders argued that the agreement adopted for their exclusion was invalid, because the call notice did not clearly specify that the exclusion was part of the agenda, which led to them not being able to present their defenses and society excluding them. This work analyzes the legal nature and scope of the mechanisms for challenging and nullifying corporate agreements adopted by the shareholders' meeting. This topic, which is the subject of debates in the field of corporate law, acquires significant relevance today due to the corporate interests and rights that both mechanisms protect. For the formulation of the work, the regulatory, doctrinal aspects and judicial precedents linked to the action of nullity and corporate challenge were examined; as well as its application to the case under analysis. In general terms, we conclude that, both in doctrine and in jurisprudence, there are different positions on the reasons for requesting the annulment or challenge of a corporate agreement at the corporate level. It is necessary to carry out a review of the articles that regulate these mechanisms, so that a clear regulation is established and an adequate distinction of the situations in which it is appropriate to resort to the nullity or challenge of corporate agreements, both in the field corporate and civil.
