Through this investigation, we have proceeded to the study of a figure that presents a series of questions at the level of corporate legislation, which is the preparatory contract, which is embodied in article 41 of the General Companies Law. The aforementioned article establishes that the preparatory contracts (commitment to contract and option contract) in which the companies regulated by the LGS intervene are not subject to limited terms, but rather determine the parties in the same document. The above mentioned in this corporate norm, is contrasted with the terms established in articles 1415 ° and 1423 ° of the Civil Code. In that order of ideas, we see that there is a problem that affects societies; since there is a normative duplicity, controversies or discrepancies have been raised regarding the regulation that should be applied when it comes to a preparatory contract that deals with shares of public limited companies, and therefore when the proceedings are initiated, both judicial and arbitration , when considering the claims of the demand or the exceptions in its case.
