The development of this research work is situated in the context of non-compliance with preparatory contracts, where although it is true, there is the alternative of requesting forced compliance or resolution of these, providing legal security to the affected party. However, the problem arises when correctly determining the type of civil liability that would arise from failure to comply with the preparatory contracts; since, doctrinally, we are faced with two completely different positions; On the one hand, it is said that non-compliance with these contractual types gives rise to contractual liability; and another minority party maintains, on the contrary, pre-contractual responsibility. In this sense, it is proposed to determine the type of civil liability in preparatory contracts to promote a fair decision by the judge and thus save the legal security of the affected party, since if it is determined that, in the event of non-compliance or withdrawal of one of the parties to enter into the definitive contract, one is faced with a type of civil liability that is purely contractual and not pre-contractual as part of the doctrine admits; Then, it will be promoted that in practice the judge can issue a sentence according to the law.
