El levantamiento de velo societario, la protección al capital de la persona jurídica e individualización del socio responsable de una sociedad anónima cerrada

Abstract

El presente trabajo nos llevará por un camino aún no explorado en nuestra ciudad, por medio del cual apreciaremos el eficiente uso del instrumento jurídico conocido como “levantamiento de velo” y su aplicación para 2 cosas importantes: la protección al capital de una sociedad anónima cerrada (SAC) y la individualización directa del socio (o los socios, de ser varios) responsable de causar algún perjuicio al consumidor; asimismo exploraremos la constitución de una SAC desde sus cimientos para entender el funcionamiento de la misma, los beneficios de formar una, sin olvidar las responsabilidades que ello conlleva, para de esta manera disgregar la viabilidad de este instrumento jurídico y su posible aplicación.

The present work will take us through a path not yet explored in our city, through which we will appreciate the efficient use of the legal instrument known as “lifting the veil“ and its application for 2 important things: the protection of the capital of a closed corporation (SAC) and the direct individualization of the partner (or partners, if there are several) responsible for causing some damage to the consumer; likewise we will explore the constitution of a SAC from its foundations to understand the operation of the same one, the benefits of forming one, without forgetting the responsibilities that it entails, for this way to disintegrate the viability of this legal instrument and its possible application.
