Propuesta sobre regulación de las cláusulas prosandbagging y antisandbagging en los procesos de fusiones y adquisiciones de empresas

Abstract

La presente investigación propone la regulación de las cláusulas sandbagging dentro del ordenamiento jurídico peruano. Estas cláusulas, que se utilizan en las fusiones y adquisiciones de empresas, tienen como objetivo establecer las consecuencias jurídicas del incumplimiento de las declaraciones y garantías del vendedor. En la actualidad, el ordenamiento jurídico peruano no regula estas cláusulas, lo que genera incertidumbre y puede disuadir a los inversores extranjeros de realizar operaciones en el país. Para tal efecto, la investigación utilizó la técnica analítica, documental y de fichaje para estudiar la figura de las fusiones y adquisiciones y cómo las cláusulas sandbagging intervienen en ellas. Finalmente, los resultados de la investigación muestran que la incorporación de estas cláusulas en el ordenamiento jurídico peruano es compatible y necesaria para brindar seguridad jurídica a los inversores y a los vendedores.

This research proposes the regulation of sandbagging clauses within the Peruvian legal system. These clauses, which are used in business mergers and acquisitions, are intended to establish the legal consequences of failure to comply with the seller's representations and warranties. Currently, the Peruvian legal system does not regulate these clauses, which generates uncertainty and may dissuade foreign investors from carrying out operations in the country. For this purpose, the research used analytical, documentary and signing techniques to study the figure of mergers and acquisitions and how the sandbagging clauses intervene in them. Finally, the results of the research show that the incorporation of these clauses in the Peruvian legal system is compatible and necessary to provide legal security to investors and sellers.
