Currently, the biggest investors seek more profitable and safe alternatives due to the crisis of the world economy and the lack of confidence in corporate markets. These facts have originated that topics related to Corporate Governance and Sustainable Development be more important in the agendas of societies and regulatory organizations in order to provide a clear and transparent environment to retrieve confidence. Perú, as an emergent country, cannot be indifferent to the world problems, taking into account that among its main “strengths” can be found its Mining Potential and economic stability. On the other hand, Perú has weaknesses such as the shortage of an effective regulatory entity and a culture considering Good Corporate Governance Practices aligned to a Sustainable Development philosophy among its main objectives. This thesis analyzes sensitive topics related to the loss of confidence in capital markets of different countries around the world including Perú. We also analyze the case presented by Chilean Congressman Jorge Lavandero who denounced a series of facts related to mining. Due to the importance of Mining in Perú, as well as the big quantity of commitments regarding investment of private capital in this sector, we analyze its current situation with a critical approach about the aspects which are subjects of this thesis. Likewise, we include a summary of the Southern Perú Corporate Governance and Sustainable Development Model. We expect this model to be used as a reference to the adoption of world-class standards in order to contribute with the sustainability of all Peruvian markets and mining, in particular. With this thesis, we expect to make a critical analysis about the Corporate Governance in Perú in order to offer the necessary guidelines to its adoption in its sector.
