Law, as a dynamic science, must adjust to the reality of the society it regulates; however, this is a utopian scenario in Peru whose chaotic legal system complicates constant monitoring of regulations. This situation causes social dynamics to be governed by outdated rules that no longer provide the benefits of another era. This is the case of Decree Law 21621, Law of the Individual Limited Liability Company, which, having been in existence for more than 40 years, no longer manages to adapt to the socioeconomic reality, being restrictive with the activity of the entrepreneur and limiting its economic growth. Throughout this work, it is intended to address the impact of this rule on the Peruvian registry system by analyzing the problem of Resolution No. 2231-2016-SUNARP-L regarding the relaxation of the interpretative criterion of the Registry Court. In this sense, it will begin by presenting the main facts and problems identified and then carry out an analysis that allows evaluating the nature of the EIRL as opposed to the One Man Company with the intention of confirming the current ineffectiveness of Decree Law 21621, the undeniable extension of the appears by the Registry Court and the need for a modification or substitution of this legal instrument.
