This report aims to provide a legal analysis based on Registry and Corporate Law –under the current legislation of Resolution 1928-2011-SUNARP-TR-L, in which the Registry Tribunal ordained the extinction inscription of a branch of a company incorporated abroad, whose parent company had been previously extinguished. This created a situation that was not regulated by the applicable Corporate and Registry Laws. Thus, the Registry Tribunal argued the legal impossibility for the branch to fulfill the requirements stated by article 402 of the General Law of Corporations, which created a legal void to be solved in application of the General Principles of Law by the legal integration method. The relevance of this resolution relies on the fact that it reflects an undeniable reality of our legal system, in which novel corporate situations are ahead of the regulations in force, due to the advances of commercial dynamics. We conclude that although the decision taken by the Registry Tribunal was correct, it lacked a sufficient legal development that could allow an understanding of their reasoning and thus avoid arguments that could imply an excess of the tribunal in its decision. Finally, it is important since we will cover different areas of Law such as Corporate, Registry, Commercial law, and the General Theory of Law to give light to this situation.
