Currently in our country there have been several cases in which third -ajenas to charges of administration of a mercantile society are those who control and direct it to your benefit or third persons. These persons who run a corporation - without the formalities required by law - are called administrator made or indeed responsible. Therefore, the purpose of this investigation is to determine whether the regulation of fact responsible for the corporation is necessary; to achieve an appropriate use of legal persons of private law, in our country, and thereby preventing the possible illegal activities they can do against the company and / or third parties; considering that this figure is not regulated at present. Notwithstanding what is stated above, we should note that the figure in question has undergone treatment doctrine and jurisprudence on national and comparative law. For these reasons, the regulation of the figure of fact or manager responsible for our corporate text made consider necessary, because would obviate the impunity that would be criminal acts perpetrated under the guise of a legal person by members of the same perfectly individualized, so that the present investigation seeks to determine whether the regulation of the corporation responsible is required
