Abstract: El presente informe jurídico analiza la operación realizada por Enel S.P.A. consistente
en la adquisición de la totalidad de acciones de Endesa S.A., ejecutada en territorio
extranjero, así como los razonamientos realizados por la Comisión y la Sala de Defensa
de la Competencia No.1 de INDECOPI para justificar la apertura de un procedimiento
administrativo sancionador por la comisión de una infracción al Artículo 6 de la Ley
26876. Se proporcionará una respuesta frente a los tres problemas jurídicos principales
identificados, vinculados a la aplicación de la Ley 26876 frente a una concentración
empresarial perfeccionada en territorio extranjero, la determinación correcta de la
sanción administrativa impuesta en virtud de los criterios que concretizan el principio de
razonabilidad en materia sancionadora, y la correcta adecuación de la actuación
administrativa en el presente caso frente a los principios de debido procedimiento y de
tipicidad que fundamentan el procedimiento administrativo sancionador. Las
conclusiones del análisis establecen la utilidad de la effects doctrine para identificar el
elemento que habilita la aplicación de la Ley 26876 frente a una concentración
perfeccionada en el extranjero, la fundamentación insuficiente de la cuantía de la
sanción establecida en base a los criterios de graduación vigentes, y la adecuación por
parte de la Comisión y la Sala a los principios de debido procedimiento y tipicidad.
This report analyzes Enel S.P.A.’s shares acquisition of Endesa S.A. executed in foreign territory, and INDECOPI’s Comisión and Sala de Defensa de la Competencia No.1 reasonings to inititate an administrative sanctioning procedure for the infringement of Article 6 of the Ley 26876. A solution to the three principal legal problems identified will be given regarding the application of Ley 26876 against a foreign economic concentration, the correct establishment of an administrative sanction in virtue of the principle of reasonableness’s criteria, and the adequacy of the actions in the present case in virtue of the administrative due process and principle of typicality. The main conclusions of this analysis establish the usefulness of the effects doctrine regarding the identification of the elements that enable the application of Ley 26876 against an economic concentration perfected abroad, the insufficient substantiation of the quantum of the imposed sanction in virtue of the existing criterias, and the adecuacy of the actions of the Comisión and Sala regarding the administrative due process and principle of typicality.
