This report analyzes the main legal issues in the field of securities and administrative law related to a sanctioning administrative proceeding initiated by the Superintendency of the Stock Market (“SMV”) against Corporación Lindley S.A. (the “Issuer”) due to certain regulatory violations of the stock market in the framework of a share transfer transaction that meant a change of control in the shareholding structure of the Issuer. For these purposes, the report analyzes in detail the arguments of each party regarding the charges brought against the Issuer and relies on the applicable regulatory framework, administrative resolutions, and academic doctrine to resolve it and provide a duly supported opinion in connection with said charges. Subsequently, we conclude that the Issuer did incur in four of the five charges that were initially brought against it, although the report disagrees with the sanction resolution in relation with one of the charges for the alleged inaccurate disclosure of material facts (hechos de importancia) for attributing an erroneous type of infraction. Likewise, this report concludes that the sanction resolution issued by the SMV violated principles of Administrative Law, such as the principle of due administrative procedure and predictability within the framework of said sanctioning administrative procedure. Finally, the report presents conclusions to the analysis carried out and certain recommendations that should be considered in the framework of change of control transactions and sanctioning administrative procedures by both issuers with securities registered in the Public Registry of the Stock Market and the SMV.
